Delaware LLC With Northwest: A Non-Resident Walkthrough
Step-by-step: how a non-US resident forms a Delaware LLC through Northwest Registered Agent, what each stage costs, and where filings get stuck.
A non-resident can form a Delaware LLC through Northwest Registered Agent in one sitting online, but the LLC is not usable until three later steps finish: the Certificate of Formation is stamped by the Delaware Division of Corporations, the EIN arrives from the IRS, and a bank or fintech approves the account. Northwest handles the first, helps with the second, and cannot do the third for you.
Bottom line
- Budget roughly $90 for Delaware’s filing fee plus Northwest’s formation service and first year of registered agent, and expect a total in the low hundreds.
- The filing itself is fast. The EIN is the slow part for anyone without an SSN — plan on weeks, not days.
- Delaware charges a $400 annual franchise tax for LLCs, every year, regardless of revenue.
Why this walkthrough uses Delaware

Delaware is the right choice when you expect outside investors, a multi-member structure, or a future conversion to a corporation; it is the wrong choice when you just want the cheapest compliant holding entity. Delaware’s court of chancery and its settled body of LLC case law are what you are actually paying the $400 annual franchise tax for.
If none of that applies to you, read Wyoming vs Delaware LLC and best state to form an LLC for non-residents before you file anything. Most solo non-resident founders selling software or services are better served by Wyoming.
We are using Delaware here because it is the state where the walkthrough is least forgiving — the franchise tax, the registered agent requirement, and the separate annual deadline all bite. Everything below works the same way in Wyoming or New Mexico with a different fee and no franchise tax.
Step 1: Decide the name and check availability
Delaware requires your LLC name to be distinguishable from every existing entity on the state’s register and to end with “LLC,” “L.L.C.,” or “Limited Liability Company.” You can search the register yourself on the Division of Corporations entity search page before you pay for anything.
Two practical notes for non-residents:
- Avoid words that suggest a regulated activity (bank, trust, insurance). Delaware will reject or refer those filings.
- Check the matching
.comand your main social handles at the same time. Changing an LLC name later means an amendment filing and a new fee.
Northwest’s order form checks name availability as part of the filing. It will not, however, tell you that your chosen name is a trademark conflict — that is a separate search on the USPTO database, and worth ten minutes.
Step 2: Choose your registered agent before you file
A registered agent is a person or company with a physical address in the state of formation who accepts legal service of process and state mail on behalf of your LLC. Delaware requires one, and a non-resident cannot be their own agent because you have no Delaware street address.
This is the one line item you should not shop on price alone. The agent’s address becomes the public address on your filing, and the agent is who forwards a lawsuit to you. An agent who scans mail slowly or sells your data to lead brokers creates real problems.
Northwest’s position here is specific: they list their own address on the filing where the state allows it, they do not sell customer data, and they scan and forward mail rather than just notifying you it exists. That combination is why we recommend them for non-residents, who cannot physically collect anything.

Step 3: File the Certificate of Formation
Delaware’s Division of Corporations charges a minimum $90 filing fee for an LLC Certificate of Formation. Northwest charges its own formation fee on top, plus the first year of registered agent service — check the current pricing page, because service fees move more often than state fees.
The order itself takes about fifteen minutes. You will supply:
| What Delaware asks for | What a non-resident enters |
|---|---|
| LLC name | Your checked name, ending in LLC |
| Registered agent and Delaware address | Northwest’s agent details |
| Authorized person signature | Northwest signs as your filer |
| Members and managers | Not listed on the Delaware certificate |
| Business purpose | Not required; Delaware allows general purpose |
Note the fourth row. Delaware’s Certificate of Formation does not name members or managers, which is the privacy feature people mean when they say Delaware is private. Your name appears in Northwest’s records and on your operating agreement, not on the public certificate.
Standard processing runs a few business days; Delaware sells expedited tiers if you need it faster. From abroad, the filing is the fastest part of this whole process.
Step 4: Get the operating agreement and EIN moving
Do these two in parallel. The operating agreement is instant; the EIN is not.
Operating agreement. Delaware does not file it, but you need it. Banks ask for it, payment processors ask for it, and for a single-member LLC it is the document that proves the entity is separate from you. Northwest includes a template. A single-member agreement rarely needs a lawyer; a multi-member one with unequal contributions does.
EIN. An EIN is the federal tax ID the IRS issues to your LLC. Without an SSN or ITIN you cannot use the instant online application — you file Form SS-4 by fax or mail, writing “Foreign” in the field that asks for a responsible party’s SSN or ITIN. Fax is meaningfully faster than mail. Northwest offers EIN service as a paid add-on, which is worth it mainly because they follow up when the IRS loses things.
Full detail in how to get an EIN without an SSN. If you are unsure whether you also need an ITIN, read ITIN vs EIN for non-residents — most single-member owners do not.
Step 5: Address, banking, and payments
Northwest’s registered agent address is for legal service, not for general business mail or bank applications. Banks and Stripe want a business address, and using a registered agent address for that will get flagged. Set up a separate mail-forwarding address — see US address for your LLC.
Banking is where non-resident setups actually stall, not formation. Most traditional US banks want in-person identity verification. Fintech platforms accept remote applications more often, and they want your stamped Certificate of Formation, EIN letter, operating agreement, passport, and proof of address before they will look at you. Have all five as clean PDFs before you apply anywhere.

Step 6: Calendar the annual obligations immediately
Delaware charges LLCs a $400 annual franchise tax, due June 1 each year, with a $200 penalty plus interest if you miss it. There is no income threshold — a dormant Delaware LLC with zero revenue still owes $400. Northwest will remind you; the deadline is still yours.
The federal side is separate and catches people out. A foreign-owned single-member LLC is a disregarded entity that must file Form 5472 together with a pro forma Form 1120 each year. The penalty for not filing Form 5472 starts at $25,000, and it applies even with no US income and no tax owed. This is the single most expensive mistake in non-resident LLC ownership.

Who should pick Northwest for this
Pick Northwest if privacy and mail handling matter to you, if you want the same company to be both filer and long-term registered agent, and if you would rather pay slightly more than deal with upsell-heavy checkout flows. Non-residents in particular benefit from an agent that scans mail, because you cannot go collect it.
Pick someone else if you want the cheapest possible first-year number and are comfortable managing add-ons yourself, or if you want formation bundled with bookkeeping and tax filing as one subscription. Compare Northwest vs ZenBusiness and doola vs Firstbase — the doola and Firstbase model is closer to an all-in-one back office than a registered agent.
FAQ
Can I form a Delaware LLC without ever visiting the US?
Yes. Formation, the operating agreement, and the EIN application are all doable remotely from any country. The only step that sometimes requires physical presence is opening an account at a traditional US bank, which is why most non-residents use a fintech platform instead.
How long does the whole process take?
The Delaware filing itself typically clears in a few business days, faster with expedited processing. The EIN is the bottleneck — filing Form SS-4 by fax without an SSN commonly takes several weeks. Budget four to eight weeks from order to a funded account.
Do I need a Delaware address as well as the registered agent?
Not a Delaware one specifically. The registered agent satisfies the state requirement, but you will want a separate US mailing address for banks, processors, and vendors, since registered agent addresses are not intended for general business mail.
Is Delaware worth $400 a year for a small online business?
Often not. If you have no investors and no plans to raise, Wyoming or New Mexico give you the same liability protection without a franchise tax. Delaware earns its cost when outside capital, complex ownership, or eventual conversion to a C-corp is on the table.
Next step
If you have read the state comparison and Delaware is genuinely the right fit, the cleanest path is to file and set up registered agent service with the same provider so nothing falls between two vendors. Start your Delaware LLC with Northwest Registered Agent — then immediately file Form SS-4 for your EIN, because that is the step that determines when you can actually start trading.
This is general information, not legal or tax advice. Confirm your specific situation with a CPA or attorney, particularly around Form 5472 and any treaty position in your home country.
