You can form a US LLC from Nigeria online — no US visit, no US partner, no Social Security Number. And most Nigerian founders are not doing it for tax reasons. They are doing it to get paid. A US entity with an EIN and a US business bank account is the shortest documented route to Stripe, US-domestic card processing and dollar invoicing that US and European clients accept without friction.

Why Nigerian founders form US LLCs
Card rails and Stripe. Stripe’s list of supported countries for locally incorporated businesses has not included Nigeria, which is why the US-entity route became standard practice for Nigerian SaaS companies, agencies and e-commerce sellers. It is a legitimate route when the entity is real, the work is real and the ownership is disclosed honestly.
PayPal’s receiving problem. Nigerian PayPal accounts have historically been able to send but not receive commercial payments, and reports of that changing surface periodically. Check PayPal’s own country page for the current position rather than any blog, this one included. A US business account attached to a US LLC removes the question entirely.
Buyer trust in dollar contracts. A US counterparty shortens procurement and legal review for American mid-market buyers. For an agency or a B2B software company, the entity is a sales asset before it is anything else.
Fewer conversions. Earning dollars, holding dollars and paying dollar costs — hosting, ads, contractors, software — out of the same balance removes a conversion step that quietly eats margin on every transaction.
What a US LLC does not do: change your Nigerian tax residence, change the source of your income, or entitle you to misstate where you live during onboarding. Every processor and bank asks for the beneficial owner’s country of residence. Answer it truthfully. A false answer is the fastest route to a frozen balance and a permanent ban.
The formation steps, in order
1. Choose the state. Wyoming and New Mexico are the usual non-resident picks: low fees, no entity-level state income tax on out-of-state activity, and members not named in the public filing. Wyoming’s formation fee is $100 with an annual report license tax carrying a $60 minimum for LLCs holding $300,000 or less in in-state assets, due in your anniversary month. New Mexico files for $50 and requires no LLC annual report at all. Delaware charges a flat $300 LLC franchise tax due June 1 and earns its premium only if US investors are realistically in the plan. 2. Appoint a registered agent. Required in every state — a physical in-state street address that accepts legal service for the company. You cannot be your own agent from Lagos, and a PO box does not qualify. 3. File the Articles of Organization. Online in most states, usually approved within a few business days. Fees change, so read the current state schedule.
4. Get the EIN without an SSN. File Form SS-4 and write “Foreign” on line 7b if you have neither an SSN nor an ITIN. 5. Sign an operating agreement. Even as the only member. Banks and processors ask for it, and it is the document that proves who owns the company.
6. Get a real US business address. Registered agent addresses are commonly rejected as a business address by banks and processors. A dedicated suite address is part of the package for a reason — see us-address-for-your-llc.
7. Open the account, then the processor. In that order. Stripe onboarding goes far smoother with a US bank account already in hand.
8. Diarise compliance. State annual report or franchise tax, registered agent renewal, and Form 5472 with a pro forma Form 1120 for a foreign-owned single-member LLC. The Nigerian side: questions to confirm, not answers
Everything below is a question for a Nigerian tax adviser or FX lawyer with your actual numbers in front of them. None of it is advice.
Funding the company. Nigeria’s foreign exchange market operates on a willing-buyer, willing-seller basis after the CBN collapsed its multiple windows into one. The practical constraint is documentation and availability at your bank, not an official parallel rate. Form A (now filed electronically) is the declaration used for invisible, non-trade outward transactions such as tuition or personal allowances. Ask your bank directly which form and purpose code it applies to a transfer that capitalises a foreign company you own, and whether the CBN’s current foreign exchange manual changes the answer.
Outward equity investment by an individual. The Certificate of Capital Importation machinery exists for capital coming into Nigeria and for repatriating it later. There is no equivalent consumer-grade route publicised for an individual sending equity capital out. Ask a Nigerian FX lawyer what the documented path is, and whether keeping your formation spend on a card or paying it from existing domiciliary funds is treated differently from a wire.
Domiciliary accounts and cards. Deposit, withdrawal and card-spend limits on domiciliary accounts have moved repeatedly, and individual banks set their own caps within CBN policy. Get your own bank’s current limits in writing before you rely on a card to pay US vendors.
The Nigeria Tax Act 2025. Two provisions matter here. A foreign-incorporated entity that is effectively managed and controlled from Nigeria can be treated as a Nigerian company and taxed accordingly. Separately, new controlled foreign company rules can tax undistributed profits of a foreign entity controlled by a Nigerian person. If every decision the LLC makes is made from your desk in Lagos or Abuja, ask your adviser exactly which of these applies to you and on what facts.
Worldwide income. Nigeria taxes residents on worldwide income, with residence turning on days present and personal and economic ties. Money earned through a US LLC by a Nigerian resident does not become invisible because it sits in a dollar account.
NOTAP. If the US LLC will license software, technology or IP back to a Nigerian company, registration with the National Office for Technology Acquisition and Promotion may be relevant to whether those fees can be remitted. Raise it only if that structure is on the table.
What to bring to the meeting: state of formation, ownership percentage, every transfer amount and date, where you physically work, whether the LLC has US staff or premises, expected revenue, and whether profits will be distributed or retained.
Banking and payments: the honest odds
This is where Nigerian founders get stuck, and it is worth being blunt.
Several prominent US fintech business accounts publish lists of countries they will not serve, based on the founder’s country of residence or the business’s headquarters, and Nigeria has appeared on more than one of them. Those lists change in both directions. Read the provider’s own live support page on the day you apply, and do not pay a formation package that promises a specific bank account as a guaranteed outcome. What improves your odds, regardless of provider: a real US business address rather than a registered agent’s, perfectly consistent details across your Articles, EIN letter and operating agreement, a plain-English description of what you sell and to whom, a website that matches that description, and no attempt to hide your residence.

Who should do this, and who should not
Go ahead if you sell to customers outside Nigeria, you need card rails you cannot get locally, and you will budget for a Nigerian adviser and a US tax preparer. That professional cost is part of the real price, not an optional extra.
Reconsider if your customers are all Nigerian, your work is all performed in Nigeria, and the appeal is a lower headline tax rate. That fact pattern sits exactly where the Tax Act 2025 effective-management and CFC provisions are aimed.

Do I need to travel to the United States?
No. Formation, EIN and remote-friendly business accounts can all be handled from Nigeria. Traditional branch banks generally do want an in-person visit, which is why founders use the fintech route in the first place.
Can I use a US LLC to access Stripe from Nigeria?
A US LLC with an EIN, a US business bank account and a US business address is the standard path, and it works when the business is genuine. Onboard honestly, including your own country of residence, because misrepresentation is what gets accounts closed.
