How to Start a US LLC From the UAE as a Non-Resident
Start a US LLC from the UAE step by step: choose a state, file, get an EIN without an SSN, open a bank account, and stay compliant in both countries.
You can start a US LLC from the UAE without visiting the United States, without a US visa, and without a Social Security number. The process is the same for UAE nationals and for expats living in Dubai, Abu Dhabi, or any other emirate: pick a state, file through a formation service, get an EIN, open a US bank account, and file your annual US forms.
The two things that catch UAE founders off guard are banking and the UAE side of the tax picture. Formation itself is the easy part.
Bottom line
- Most UAE-based founders choose a Wyoming or New Mexico LLC because filing and upkeep cost less than in Delaware.
- You can get an EIN without an SSN by faxing or mailing Form SS-4, or by having a formation service file it for you.
- A foreign-owned single-member LLC must file Form 5472 with a pro forma Form 1120 every year, even with zero US income.
Can a UAE resident own a US LLC?
Yes. US states do not require LLC owners to be US citizens or residents, and no state asks for a visa to form an LLC. Your residency in the UAE and your passport don’t limit your ability to own a US LLC.
What you do need is a US registered agent and a US address for state records. A registered agent is a person or company with a physical address in the state of formation that accepts legal mail and official notices for your LLC. Every formation service includes one, and our guide on what a registered agent does explains the role in detail.
Step 1: Choose your state
For most UAE founders, Wyoming is the default choice, with New Mexico as the lowest-cost alternative. Delaware only makes sense if you plan to raise venture capital and convert to a corporation later.
Here is how the three most common states compare for a non-resident owner:
| Factor | Wyoming | New Mexico | Delaware |
|---|---|---|---|
| State filing fee | $100 (Wyoming Secretary of State) | $50 (New Mexico Secretary of State) | $110 (Delaware Division of Corporations) |
| Annual cost to the state | Annual report, minimum $60 | No annual report for LLCs | $300 annual franchise tax |
| Owner privacy | Owners not listed in public filings | Owners not listed in public filings | Owners not listed in public filings |
| Best for | Most online businesses and service providers | Lowest ongoing cost | Startups that plan to raise capital |
| Weakest point | Small yearly fee and report | Less familiar to some banks and partners | Highest ongoing cost for a small LLC |
State fees change from time to time, so check the Secretary of State website for the current amount before you file. If you’re torn between the two cheaper options, read our Wyoming vs New Mexico LLC comparison.
Note that the state you form in is not necessarily where you owe tax. A non-resident with no US office or employees usually has no state income tax exposure, but confirm this for your own setup.
Step 2: File your LLC through a formation service
The simplest path from the UAE is a formation service that files the Articles of Organization, provides the registered agent, and can handle the EIN for you. You fill out an online form, pay the state fee plus the service fee, and receive your approved documents by email.
Bizee (formerly Incfile) is a common choice for cost-conscious founders. Its basic package has historically started at $0 plus the state fee and includes a year of registered agent service. Add-ons like EIN filing and an operating agreement cost extra. Check the current pricing page, because plans and inclusions change.
Expect to provide:
- Your full legal name as it appears on your passport
- A residential address (your UAE address is fine)
- An email address and phone number that work internationally
- Your LLC name, plus one or two backups in case the first is taken
- A short description of what the business does
The state approves the filing in anywhere from same day to a few weeks, depending on the state and current processing times. Our guide on how long it takes to form a US LLC and get an EIN covers realistic timelines.
Step 3: Get an EIN without an SSN
An EIN (Employer Identification Number) is the federal tax ID the IRS assigns to your LLC. You need it to open a bank account, sign up for payment processors, and file your annual tax forms.
Non-residents without an SSN or ITIN can’t use the IRS online EIN application. You have three options:
- Fax Form SS-4 to the IRS. This is usually the fastest do-it-yourself route. Leave the SSN/ITIN line as “Foreign” and make sure the responsible party is you.
- Mail Form SS-4. This works but is slow, often several weeks or more.
- Let your formation service file it. Bizee and similar services offer EIN filing as an add-on, which saves you from dealing with fax lines and US time zones.
The UAE is 8 to 9 hours ahead of US Eastern Time, depending on daylight saving in the US. That makes calling the IRS awkward, so many UAE founders pay for the EIN add-on. If you’d rather do it yourself, follow our walkthrough on how to get an EIN without an SSN.
Step 4: Open a US business bank account
Opening a US business account is the hardest step for most UAE founders. Some US fintech banks accept non-resident LLC owners and let you open an account online. Traditional US banks usually expect you to visit a branch in person.
Every bank sets its own country and risk policies, and those policies change. Some providers accept UAE residents easily. Others ask extra questions based on your nationality, your business type, or where your money comes from. Have these ready:
- Your EIN confirmation letter (CP 575 or 147C)
- Articles of Organization and operating agreement
- Passport and proof of UAE address
- A working website or a clear description of your business and customers
Don’t depend on a single application. Apply to two or three providers if you can. Our guide to US business bank accounts for non-residents walks through the options and what each one asks for.
Once the account is open, you can connect a payment processor. Stripe and PayPal both work with US LLCs that have an EIN and a US bank account, subject to their own review. See our guide on payment processing for non-resident LLCs for setup tips.
Step 5: Understand the US tax side
A single-member LLC owned by a non-resident is, by default, a “disregarded entity” for US federal tax purposes. That means the LLC itself doesn’t pay federal income tax. Whether you personally owe US tax depends on whether your income is “effectively connected” with a US trade or business.
Many UAE founders who run online businesses with no US office, employees, or inventory owe no US federal income tax. That’s a common outcome, not a guarantee. Selling physical goods stored in US warehouses, for example, can change the analysis.
Whatever your tax result, the filing requirement stays the same. A foreign-owned single-member LLC must file Form 5472 with a pro forma Form 1120 every year, generally due April 15. The IRS penalty for failing to file Form 5472 starts at $25,000. This is the one deadline you can’t miss. Our Form 5472 guide explains what goes on the form.
The US and the UAE do not have a comprehensive income tax treaty. So you can’t rely on treaty benefits to reduce US withholding or settle residency questions the way founders from treaty countries sometimes can.
Step 6: Check the UAE side
The UAE has no personal income tax, but it does have a federal corporate tax. That tax applies to business profits above AED 375,000 at a 9% rate, and the Federal Tax Authority (FTA) administers it. How it affects you depends on how you run your US LLC.
Two questions matter:
- Where is the LLC managed from? If you make all the key decisions from Dubai, the UAE may treat a foreign company as UAE tax resident under its “place of effective management” rules.
- Are you doing business as an individual? UAE rules can require individuals to register for corporate tax once their business turnover passes a set threshold.
These rules are newer than the US rules and still being clarified. Before you assume your US LLC is invisible to the UAE, talk to an FTA-registered tax advisor. Also check whether your UAE residence visa or free zone license limits outside business activity.
Ongoing costs and compliance
Owning a US LLC from the UAE comes with a short, predictable list of annual tasks:
- State annual report or fee: Wyoming charges a minimum of $60. New Mexico has no annual report for LLCs. Delaware charges a $300 franchise tax.
- Registered agent renewal: Usually around $100 to $150 a year after any free first year. Check your provider’s current pricing.
- Form 5472 + pro forma 1120: Due every year, even with no income.
- Bookkeeping: Keep clean records of every transfer between you and the LLC, because Form 5472 reports them.
For the full yearly picture, see our US LLC annual compliance checklist.
Who should start a US LLC from the UAE
A US LLC is a good fit if you sell to American customers, need access to US payment processors and marketplaces like Amazon or Shopify, or want a business structure US clients recognize. Freelancers, agency owners, SaaS founders, and ecommerce sellers based in the UAE commonly use one.
It’s a weaker fit if all your customers are in the Gulf region, or if you mainly need a local trade license to operate in the UAE. In that case, a UAE mainland or free zone company may serve you better, and some founders end up running both.
FAQ
Do I need to travel to the US to form an LLC from the UAE?
No. You can form the LLC, get an EIN, and file annual reports entirely online or by fax. The only step that sometimes requires travel is opening an account at a traditional US bank, and online fintech banks avoid that.
Can I get an EIN as a UAE resident without an SSN or ITIN?
Yes. You can fax or mail Form SS-4 to the IRS and write “Foreign” in the SSN/ITIN field, or have a formation service file it for you. You don’t need an ITIN to get an EIN.
Which state is best for a US LLC owned from the UAE?
Wyoming is the most common choice because of its low fees and simple upkeep. New Mexico is cheaper to maintain because it has no annual report for LLCs. Delaware mainly suits startups planning to raise venture capital.
Will my US LLC pay tax in the UAE?
It might, depending on where the LLC is managed and how much business you do. The UAE’s 9% corporate tax and its rules for individuals doing business can apply in some setups. Confirm with an FTA-registered advisor before you start trading.
